1. Acceptance of Terms

By accessing or using QueryNest ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying customers.

2. Description of Service

QueryNest is a natural language database query service that allows users to query databases using plain English. The Service translates natural language questions into SQL queries, executes them against user-connected databases, and displays the results.

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be at least 16 years of age

You are responsible for all activities under your account.

4. Database Connections

When connecting databases to the Service:

  • You represent that you have authorization to access the database
  • You grant us permission to connect and execute read-only queries
  • We will only execute SELECT statements (no INSERT, UPDATE, DELETE)
  • You are responsible for providing appropriate read-only credentials
  • We recommend using credentials with minimal required permissions

5. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to databases or systems
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Use the Service to process sensitive data without appropriate safeguards
  • Share account credentials with unauthorized users
  • Exceed usage limits or circumvent access restrictions
  • Use automated systems to access the Service without permission

6. Subscription Plans and Payment

6.1 Plans

We offer Free, Pro, Pro+ (BYOK), and Team subscription plans. Plan features, limits, and pricing are described on our website and may change with notice.

6.2 Billing

Paid plans are billed monthly or annually in advance. Payments are processed through our payment partners (Razorpay for INR, LemonSqueezy for USD/EUR). By subscribing, you authorize recurring charges.

6.3 Refunds

We offer a 14-day refund for annual plans if you are not satisfied. Monthly plans are non-refundable but can be cancelled at any time. Refund requests should be sent to support@querynest.io.

6.4 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing period.

7. BYOK (Bring Your Own Key)

If you use the Pro+ BYOK plan:

  • You provide your own Anthropic API key
  • You are responsible for Anthropic API costs
  • Your key is encrypted and stored securely
  • You must comply with Anthropic's terms of service
  • We are not responsible for issues caused by your API key

8. Intellectual Property

Our IP: The Service, including software, design, and documentation, is owned by QueryNest and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service.

Your Data: You retain ownership of your data, including database schemas, queries, and results. You grant us a license to use this data solely to provide the Service.

9. Data Security

We implement industry-standard security measures:

  • AES-256-GCM encryption for credentials
  • TLS encryption for data in transit
  • Read-only database access
  • Regular security audits

However, no system is completely secure. You use the Service at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED QUERIES WILL BE ACCURATE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUERYNEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless QueryNest from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time. We will provide reasonable notice for material changes. Continued use after modifications constitutes acceptance.

14. Termination

By You: You may cancel your account at any time through account settings or by contacting support.

By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with notice. Upon termination, your right to use the Service ceases, and we may delete your data after 30 days.

15. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Bangalore, India. You waive any objection to this jurisdiction.

16. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

17. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and QueryNest.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms. We may assign them freely.
